This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021 that requires publishing of the rules and regulations, privacy policy, and Terms for access or usage of www.urmedz.com.

1. GENERAL

The website www.urmedz.com and the UrMedz mobile application (hereinafter collectively referred to as “Website”) are operated and maintained by UrMedz Retail Private Limited (hereinafter referred to as “Company,” “We,” “Our,” or “Us”), a company duly incorporated under the provisions of the Companies Act, 2013.

For the purposes of these Terms, wherever the context requires, “You,” “Your,” or “User” shall mean any natural or legal person who accesses, uses, or subscribes to our Website, agrees to become a buyer on the Website, or avails or offers to avail any of our services.

Use of the Website is offered to You, subject to acceptance of all the terms, conditions, and notices contained in these Terms, including applicable policies which are incorporated herein by reference, along with any amendments/modifications made from time to time by the Company at its sole discretion and posted on the Website, including by way of imposing an additional charge for access to or use of a service(s).

The Company reserves the right to change or modify these Terms or any policy or guideline of the Website, including the Privacy Policy, at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting the revisions on the Website. Our Website is operated, and services are provided in compliance with the laws of India. The Company shall not be liable to deliver any Products or provide any Services purchased by You in locations outside India. If you access our services from locations outside India, you do so at your own risk and are solely liable for compliance with applicable local laws. The User agrees to use the service to authorize an individual and get the products from a third party on his/her behalf. 2. PRODUCTS AND SERVICES

The Website serves as a platform facilitating online requisition for the purchase of medicines and wellness or health-related products and services (“Products and Services”). These Products and Services are offered by various registered third parties, including but not limited to third-party retail pharmacies and labs (collectively referred to as “Retail Pharmacies”). Transactions for the sale and purchase of Products and Services between You and these Retail Pharmacies, as facilitated by your requisition on the Website, are governed by these Terms.

2.1 Technology Platform for Pharmaceutical Products

The Company provides hosting and technology intermediary services to Users browsing or visiting the Website. All items for sale, along with the content (including product descriptions, images, and related information) made available by the Retail Pharmacies, are considered third-party content. The Company does not control or originate this third-party content and assumes no responsibility for its authenticity, accuracy, or legality. The Retail Pharmacies bear sole responsibility for the authenticity and genuineness of the Products and Services they provide.

The Company does not guarantee the availability of any Products and Services displayed on the Website. In case of any discrepancies, such as out-of-stock items or changes in availability, the Company shall not be held liable. The content on the Website, including text, graphics, audio, and video, is for informational purposes only and does not constitute an advertisement, promotion of any specific drug, or professional medical advice.

2.2 Prescription Drugs

To purchase prescription drugs, you must upload a scanned copy of a valid prescription on the Website. By submitting a prescription, you consent to the processing of your personal and health information as detailed in our Privacy Policy. If submitting on behalf of another individual, you affirm that you possess the authority to do so. The Retail Pharmacies will verify the prescription and may cancel the order if discrepancies are found.

The delivery of your order is outside the Company’s control, and delays may occur.

2.3 Suggestions for Alternate Prescribed Drugs

Orders for alternate prescription drugs will only be processed under specific conditions, such as:

  1. Approval by a registered medical practitioner for an equivalent generic drug.
  2. The prescription lists active pharmaceutical ingredients instead of brand names, verified by a medical practitioner.

In cases of an invalid prescription or unavailability of prescribed drugs, you can:

  • Utilize online tele-consultancy with registered medical practitioners through our partner platform Docstat for alternate prescriptions.
  • Receive a call from a registered pharmacist with suggestions for alternate drugs, subject to verification by a medical practitioner.

All exchanges, including e-prescriptions, between medical practitioners, pharmacists, and you will be recorded for quality assurance and compliance monitoring. Such exchanges will be processed according to the Privacy Policy available on the Platform.

2.4 Invitation to offer for Sale

The listing of drugs and pharmaceutical products on the Website by Retail Pharmacies constitutes a mere invitation to an offer for sale, rather than an offer for sale. When you place an order, you make an offer to enter into an agreement with the Retail Pharmacies. Acceptance of this offer occurs only after the Retail Pharmacy validates the prescription (for prescription drugs) and confirms the availability of the product. If your offer is not accepted, the Company will notify you via SMS, email, or phone call. References to “offer” or “offered for sale” in these Terms should be understood as invitations to offer by the Retail Pharmacies.

2.5 Transfer of property and Completion of Sale

Upon acceptance of your offer by the relevant Retail Pharmacy, the Products and Services will be dispensed at the pharmacy, following the order terms you placed. Dispensation will occur under the direct supervision of a licensed pharmacist, as required by law. You acknowledge that ownership of the Products and Services will transfer to you once they are dispensed and invoiced by the Retail Pharmacy. Consequently, the sale is completed at the Retail Pharmacy, which will issue the invoice for the Products and Services delivered to you.

2.6 Drugs Delivery

Delivery of Products and Services will be executed by the Retail Pharmacies or independent contractors. You agree that the delivery personnel engaged by either the Retail Pharmacies or the Company act as your agent for delivering Products from the Retail Pharmacy to your specified address. The Company is facilitating this service and assumes no liability or responsibility for the delivery process.

2.7 Diagnostics Services

The Company acts as a marketplace enabling users to access diagnostic tests offered by third-party labs through the Website. The labs are responsible for all aspects of the service, including sample collection, testing, and report generation. The Company does not bear any responsibility for these services and serves only to facilitate access to these labs. Both users and labs agree to use the Website in compliance with these Terms and applicable laws.

The Company retains the right to suspend lab or user access to the Website during investigations into complaints or violations of these Terms. Labs are solely responsible for their interactions with users, and the Company is not liable for any issues arising from these engagements.

3. ELIGIBILITY OF USE

Use of the Website is exclusively available to individuals who can form legally binding contracts in accordance with the Indian Contract Act, 1872. Individuals who are classified as “incompetent to contract,” including but not limited to minors and undischarged insolvents, are prohibited from using the Website. Furthermore, users who have been suspended or removed from the Company’s system for any reason will not be eligible to access the Products.

By accessing and using the Website, you affirm that you are of legal age to form a binding contract and are not barred from entering into a contract under applicable laws in India. If you are under eighteen (18) years of age, you may use the services provided on the Website only through a legal guardian in compliance with relevant laws.
